Terms of Service
These Terms of Service ("Terms") govern your use of sganzerlamedia.com and any services offered by SGANZERLA MEDIA. By using the Website, you agree to these Terms. Individual client projects are also governed by the signed proposal, service agreement, statement of work, or invoice applicable to that project. If a project agreement conflicts with these Website Terms, the project agreement controls for that project.
Services
SGANZERLA MEDIA provides website design, website development, redesign, maintenance, creative, and related digital services. Specific deliverables, schedules, revision limits, fees, and responsibilities will be defined in writing for each project.
Quotes and Agreements
Website descriptions and general pricing are informational and are not binding offers. A project begins only after the client accepts the applicable agreement and pays any required deposit. Changes outside the agreed scope may require additional fees and time.
Client Responsibilities
Clients must provide accurate information, timely feedback, approvals, access credentials, and materials needed to complete the project. The client represents that it owns or has permission to use all text, photographs, logos, trademarks, and other materials it supplies. Delays in receiving materials, feedback, approvals, or payment may extend the delivery timeline.
Payments
Fees, deposits, milestones, due dates, and recurring charges will be stated in the applicable agreement or invoice. Unless stated otherwise in writing, invoices are due on the date shown. SGANZERLA MEDIA may pause work or withhold launch, transfer, or final files while an invoice is overdue.
Revisions and Scope Changes
Projects include only the revisions and deliverables described in the applicable agreement. Requests that change the approved direction, add pages or features, or exceed included revisions may be treated as additional work and quoted separately.
Project Timelines
Any timeline is a good-faith estimate unless expressly guaranteed in writing. Timelines may change because of client delays, requested revisions, third-party services, technical issues, or events outside our reasonable control.
Intellectual Property
The client retains ownership of materials it provides. Upon full payment, the client receives the ownership or license rights specifically stated in the project agreement for the final approved deliverables. SGANZERLA MEDIA retains ownership of pre-existing tools, methods, templates, reusable components, draft concepts, and unused work unless otherwise agreed in writing.
Unless the client requests confidentiality in writing, SGANZERLA MEDIA may display completed, publicly released work in its portfolio, website, social media, and marketing materials. We will not intentionally disclose confidential business information.
Third-Party Services
Projects may use third-party products or services such as domain registrars, hosting providers, website platforms, plugins, fonts, stock media, analytics tools, and payment processors. Those services are governed by their own terms and may change, experience downtime, or charge separate fees. SGANZERLA MEDIA is not responsible for third-party outages, policy changes, or discontinued services.
Acceptable Use
You may not use the Website or our services to violate the law, infringe intellectual-property rights, distribute malware, interfere with systems, misrepresent another person or business, or engage in fraudulent, abusive, or harmful activity.
No Guaranteed Results
We aim to provide professional services, but we do not guarantee specific traffic, search-engine rankings, leads, revenue, sales, conversions, or business results unless expressly stated in a signed written agreement.
Disclaimer and Limitation of Liability
The Website is provided on an "as is" and "as available" basis to the extent permitted by law. SGANZERLA MEDIA makes no warranty that the Website will always be uninterrupted or error-free. To the fullest extent permitted by law, SGANZERLA MEDIA will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of the Website or services. Any liability related to a paid project will be subject to the limits stated in the applicable project agreement.
Some jurisdictions do not allow certain warranty exclusions or liability limitations, so portions of this section may not apply to you.
Indemnification
To the extent permitted by law, you agree to defend and indemnify SGANZERLA MEDIA from claims, losses, or expenses arising from materials you provide, your unlawful use of the Website or deliverables, your infringement of another party's rights, or your violation of these Terms.
Governing Law
These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles. Any dispute will be handled as provided in the applicable project agreement or, if that agreement does not address the issue, in a court of competent jurisdiction in New York.
Changes to These Terms
We may update these Terms periodically. Updated Terms will be posted on this page with a revised "Last updated" date. Continued use of the Website after an update means you accept the revised Terms.
